- Viavi Solutions, a US-based provider of test and measurement solutions for wired, optical and wireless telecommunications networks, has signed a definitive agreement to acquire its compatriot Inertial Labs, a specialist in orientation, positioning and navigation systems for aerospace, defense and industrial applications.
- Viavi intends to finance this transaction through its cash resources, for an initial consideration of $150 million at closing, and up to $175 million in contingent consideration over four years.
With the acquisition, Viavi plans to extend its scope of activities to the aerospace, defense and industrial markets, offering solutions for high-growth applications such as autonomous air, land and sea systems.
Founded in 2001 and headquartered in Leesburg, Virginia, Inertial Labs employs around 150 people. It offers inertial measurement units (IMU), inertial navigation systems (INS), positioning, navigation and synchronization solutions (APNT), GNSS (Global Navigation Satellite System) tracking, LiDAR scanning (photo), alternative navigation (ALTNAV) and visual navigation.
Its offering also includes solutions for utility inspection using signal processing algorithms derived from LiDAR and photogrammetry sensors, as well as navigation systems for aircraft and autonomous ground vehicles.
This transaction is expected to increase Viavi’s annual sales in the networks and services sector by around $50 million in calendar 2025.
The acquisition has been approved by each company’s board of directors and is expected to close in the first quarter of calendar 2025, subject to certain regulatory approvals and customary closing conditions.
